Terms of Service
These Terms of Service ("Terms") govern your use of the Percev macOS application ("Percev", the "Software") and the website at percev.app (the "Site"), both operated by Sun Fengmin, an individual software developer based in Hangzhou, China ("we", "us", "our"). By downloading, installing, or using Percev, you agree to these Terms. If you do not agree, do not use the Software.
1. The Software
Percev is a native macOS application that records screen and audio, transcribes audio locally on your Mac, and offers AI-assisted analysis of your recordings. We license — we do not sell — the Software to you.
2. License
Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use Percev on the number of Macs permitted by the plan you have purchased.
You may not:
- Copy, modify, or create derivative works of the Software, except as permitted by law;
- Reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law;
- Rent, lease, lend, sell, redistribute, or sublicense the Software or your license key;
- Remove or alter any copyright, trademark, or proprietary notices;
- Use the Software for any unlawful purpose or in violation of any applicable law.
3. Free Trial
We offer a 30-day free trial. No payment method is required to start the trial. At the end of the trial, Percev will disable new recordings until you purchase a license. Existing data on your Mac is not deleted.
4. Payments and Subscriptions
Payments are processed by Paddle.com Market Ltd. ("Paddle"), which acts as our Merchant of Record. Paddle is the seller of the Software to you. Paddle's own Buyer Terms and Privacy Policy apply to your purchase, in addition to these Terms.
If you purchase a subscription, it will automatically renew at the end of each billing period until you cancel. You can cancel at any time via the Paddle receipt email, Paddle's customer portal, or by emailing us.
5. Your Content
Percev records audio and video that you choose to capture, and produces transcripts and AI-generated notes from those recordings. All of this content is stored locally on your Mac. We do not upload, collect, or have access to your recordings, transcripts, or AI-generated notes. You own your content.
AI analysis features may invoke third-party AI services (for example, Anthropic's Claude) via your own account or API key. Those services operate under their own terms and privacy policies, and any data sent to them is governed by your agreement with those providers, not by us.
6. Third-Party Services
Percev depends on third-party services, including but not limited to:
- Paddle — payment processing, license delivery, tax compliance.
- Sparkle (via GitHub Releases and appcast.xml) — software update distribution.
- Anthropic Claude (optional, requires your own account) — AI chat features.
We are not responsible for the availability, accuracy, or behavior of these services.
7. Updates
The Software checks for updates automatically via Sparkle. Updates may add, change, or remove features. We may release new major versions that require a paid upgrade; existing licenses remain valid for the version range specified at the time of purchase.
8. Disclaimer of Warranties
The Software is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory, including without limitation any warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that transcription or AI-generated output will be accurate, complete, or suitable for any particular use. You are responsible for verifying any output before relying on it.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Sun Fengmin be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Software, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Software shall not exceed the amount you paid us for the Software in the twelve (12) months preceding the event giving rise to the claim.
10. Termination
We may suspend or terminate your license if you materially breach these Terms. You may stop using the Software at any time. Upon termination, you must uninstall the Software. Sections 5, 8, 9, and 11 survive termination.
11. Governing Law
These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles. The competent courts of Hangzhou, Zhejiang, China have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where prohibited by mandatory consumer protection laws in your country of residence.
12. Changes
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. Material changes will be communicated via the app or by email where reasonable. Continued use of the Software after an update constitutes acceptance of the updated Terms.
